Terms of Use Agreement
These Terms of Use explain the rules for using the EazyMarketing Inc. website and any related services, tools, materials, communications, subscriptions, or digital systems provided by EazyMarketing Inc.
Important note
These Terms are general website and service terms. Any signed proposal, invoice, scope of work, service order, or written agreement between you and EazyMarketing Inc. may include additional terms. If there is a conflict, the signed or written service-specific agreement will apply to the conflicting service scope, payment, timeline, and deliverables.
1. Introduction
Welcome to eazymarketing.ca (the “Website”). This Terms of Use Agreement (the “Agreement”) is made by and between you and EazyMarketing Inc. (“Company,” “we,” “us,” or “our”). This Agreement governs your use of the Website and any associated services, tools, materials, communications, software-enabled systems, automation, websites, CRM, lead capture, AI tools, marketing services, and related support we provide (collectively, the “Services”).
By accessing the Website or using the Services, you agree to these Terms. If you do not agree, you must stop using the Website and Services.
2. Eligibility and acceptance
Eligibility
You must be at least 18 years old to use the Website or Services. By using the Website or Services, you confirm that you meet this requirement and have authority to enter into this Agreement on your own behalf or on behalf of the business you represent.
Acceptance
You accept this Agreement by accessing the Website, submitting a form, booking a discovery session, communicating with us, purchasing a Service, approving a proposal, paying an invoice, or otherwise using the Services.
Changes
We may update this Agreement from time to time. Updated versions will be posted on this page with a revised effective date. Continued use of the Website or Services after updates means you accept the updated Terms.
3. Access to services
We may modify, suspend, restrict, or discontinue any part of the Website or Services at any time. We are not liable if the Website or any Service is unavailable due to maintenance, updates, third-party systems, technical issues, outages, or events outside our reasonable control.
Accounts and access
Certain Services may require accounts, logins, platform access, or third-party integrations. You agree to provide accurate information and to keep login details secure. You are responsible for activity that occurs through accounts, credentials, or access you provide.
Suspension or termination
We may suspend or terminate access to Services if payment is overdue, required access is withdrawn, a platform account is suspended, you breach these Terms, or continued service creates legal, technical, security, or reputational risk.
4. Acceptable use
You agree to use the Website and Services lawfully and responsibly. You must not:
- Violate applicable laws, regulations, platform policies, or third-party rights.
- Use the Website or Services for fraud, spam, harassment, phishing, malware, illegal content, or misleading claims.
- Upload malicious code, viruses, scripts, or software designed to disrupt systems.
- Attempt to gain unauthorized access to our systems, accounts, integrations, or data.
- Scrape, copy, reverse engineer, or misuse Website content or technical systems.
- Submit false, misleading, infringing, or unauthorized business information.
- Use our Services to contact people without proper consent or lawful basis.
5. Discovery sessions, audits, and recommendations
EazyMarketing Inc. may offer free discovery sessions, strategy conversations, audits, or review reports. These are intended to help identify possible gaps in visibility, customer response, lead capture, website conversion, reputation, booking, CRM, or follow-up systems.
- Discovery sessions and audits are informational and do not guarantee results.
- Audit observations may rely on public information, platform data, screenshots, available tools, and information you provide.
- Recommendations are not guarantees of leads, revenue, rankings, conversion rates, review growth, or platform approval.
- Any paid work must be confirmed through a proposal, invoice, service order, or written scope.
6. Purchases, payments, and subscriptions
When you purchase a product, subscription, or Service from EazyMarketing Inc., you agree to pay all applicable fees, taxes, usage charges, setup fees, subscription fees, third-party costs, and approved add-ons.
- Payments may be processed through third-party providers such as Stripe, PayPal, secure connected payment tools, or other approved processors.
- We do not store full credit card details on our own servers.
- Subscription Services renew automatically unless canceled according to the applicable subscription terms.
- Usage-based items such as SMS, phone, email, AI, WhatsApp, advertising, listings, or other third-party services may create additional charges.
- Client payment method, deposit, or prepaid invoice may be required before paid third-party tools are activated.
Cancellation
Unless a written agreement says otherwise, you may cancel a monthly subscription by contacting [email protected]. Cancellation usually takes effect at the end of the current paid billing period. Services may continue until that period ends.
7. Refunds and cancellation policy
Unless required by law or stated otherwise in a written agreement:
- Setup fees, onboarding fees, strategy fees, build fees, and one-time project fees are non-refundable once work has started.
- Monthly subscription fees are not prorated after the billing period begins.
- Third-party platform fees, usage fees, ad spend, phone/SMS/email/AI usage charges, listing charges, and similar pass-through costs are non-refundable once incurred.
- Refunds, credits, or partial adjustments may be granted at our discretion and do not create an obligation to grant future refunds.
- If you cancel before providing required access, content, approvals, or payment, completed work and reserved production time may still be billable.
8. Client responsibilities
You agree to provide accurate information, timely approvals, required access, and lawful content needed to deliver the Services. Delays caused by missing information, delayed approvals, platform issues, account ownership problems, or third-party restrictions may extend timelines.
- You are responsible for ensuring you own or have permission to use logos, photos, videos, testimonials, reviews, customer lists, brand assets, and other materials you provide.
- You are responsible for the accuracy of service descriptions, pricing, claims, offers, hours, locations, policies, guarantees, and compliance-sensitive information you provide.
- You are responsible for ensuring customer lists and messaging permissions comply with applicable laws and platform rules.
- You must not provide fake reviews, fake testimonials, scraped contact lists, unauthorized personal data, or misleading business information.
9. Intellectual property and ownership
All content on this Website, including text, graphics, logos, icons, designs, layouts, images, videos, software, frameworks, and other materials, is owned by or licensed to EazyMarketing Inc. and is protected by applicable intellectual property laws.
Client materials
You retain ownership of materials you provide to us. You grant EazyMarketing Inc. permission to use those materials as needed to deliver the Services, including website builds, automation, ads, posts, CRM setup, review systems, AI configuration, and reporting.
Work product
Unless a written agreement says otherwise, final client-facing deliverables paid for in full may be used by the client for its business. EazyMarketing Inc. may retain ownership of underlying templates, methods, code snippets, prompts, processes, automation logic, design systems, and reusable frameworks.
10. Website materials and use license
We grant you a limited, temporary, non-exclusive, non-transferable, revocable license to access and view the materials on the Website for personal or internal business evaluation purposes only.
This license does not transfer ownership. Under this license, you must not:
- Modify, copy, reproduce, or redistribute Website materials without written permission.
- Use Website materials for resale, sublicensing, public display, or competing commercial use.
- Remove copyright, trademark, proprietary, or attribution notices from any materials.
- Attempt to reverse engineer, duplicate, scrape, mirror, or recreate our Website, systems, service materials, prompts, workflows, templates, or software logic.
- Transfer materials to another person or host/mirror them on another server without permission.
This license automatically ends if you breach these restrictions. We may also terminate this license at any time.
11. User content and feedback
You may submit information such as messages, inquiries, comments, reviews, feedback, business details, customer lists, website content, or files (“User Content”). You are responsible for the legality, accuracy, and ownership of User Content.
By submitting User Content, you grant EazyMarketing Inc. a limited license to use it for delivering Services, responding to inquiries, preparing audits, building assets, configuring systems, improving workflows, and providing support.
12. Data and privacy
Your privacy is important to us. Please review our Privacy Policy for information about how we collect, use, store, and protect personal information.
When you use our Services, data may be processed by third-party platforms that support websites, CRM, automations, calendars, forms, payments, ads, analytics, communications, AI, or hosting. Your use of those Services may also be subject to the terms and privacy policies of those third-party platforms.
13. AI technologies and automation
Our Services may include AI tools, AI voice agents, chatbots, automated workflows, message automation, lead capture, call summaries, content drafts, and other AI-assisted systems. By using these Services, you understand that:
- AI-generated responses and outputs may be incomplete, inaccurate, delayed, or imperfect.
- AI outputs are for operational, informational, drafting, or customer-response support only.
- AI tools are not a substitute for legal, medical, financial, accounting, emergency, or professional advice.
- You remain responsible for reviewing and approving AI-generated content, public claims, pricing, offers, and customer commitments.
- AI voice agents and chatbots should not be used for emergency response unless specifically designed and legally approved for that use.
- AI interactions, call summaries, transcripts, chat logs, and related metadata may be stored or processed for service delivery, troubleshooting, quality control, and improvement.
- You may request deletion of eligible AI interaction data by contacting us, subject to legal, operational, backup, security, and platform limitations.
14. Website information, accuracy, and external links
The Website may contain technical, typographical, pricing, service, photographic, or content errors. We try to keep information accurate and current, but we do not guarantee that all Website materials are complete, accurate, current, or suitable for your specific business situation.
We may update, remove, or change Website content, service descriptions, packages, pricing references, examples, images, and materials at any time without notice.
The Website may contain links to third-party websites, tools, booking pages, forms, payment processors, platforms, or resources. These links are provided for convenience only. We do not control third-party websites and are not responsible for their content, policies, availability, security, or practices.
15. Third-party platforms and integrations
Many Services depend on third-party platforms, including but not limited to Google, Meta, CRM and automation platforms, Stripe, PayPal, domain registrars, hosting providers, phone/SMS/email carriers, AI providers, analytics tools, calendar systems, listing platforms, and advertising platforms.
- We do not control third-party platform availability, approval decisions, pricing, policy changes, suspensions, outages, ranking decisions, ad performance, delivery rates, or account restrictions.
- You agree to comply with third-party platform terms and policies.
- Platform changes may require updates, replacements, workarounds, additional fees, or service limitations.
- We are not responsible for loss caused by third-party platform decisions, outages, suspensions, or policy enforcement.
16. No guarantees
EazyMarketing Inc. works to improve systems, visibility, response, lead capture, websites, reviews, CRM, automation, and follow-up. However, we do not guarantee:
- Specific revenue, profit, ROI, sales, calls, bookings, leads, or customers.
- First-page rankings, map-pack placement, Google Business Profile performance, or organic traffic levels.
- Ad approvals, ad performance, cost per lead, conversion rate, or platform eligibility.
- Review count, star rating, review removal, or customer review behaviour.
- AI accuracy, perfect call handling, perfect message delivery, or uninterrupted automation.
- That every website visitor, caller, lead, or customer will convert.
Marketing and automation outcomes depend on many factors outside our control, including market demand, competition, pricing, operations, staff response, customer behaviour, reputation, budget, platform algorithms, and service quality.
17. Service availability and limitations
We aim to provide reliable Services, but we do not guarantee uninterrupted, error-free, or 99.9% availability unless a separate written service-level agreement specifically says so. Services may be affected by maintenance, third-party outages, internet issues, platform updates, carrier delays, API changes, domain/DNS issues, client-side errors, or events outside our reasonable control.
18. Limitation of liability
To the fullest extent permitted by law, EazyMarketing Inc. will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, business opportunities, data, goodwill, rankings, leads, customers, or reputation resulting from your use of or inability to use the Website or Services.
To the fullest extent permitted by law, our total liability for any claim related to the Website or Services will not exceed the amount you paid to EazyMarketing Inc. for the specific Service giving rise to the claim during the six (6) months before the claim arose.
19. Indemnification
You agree to defend, indemnify, and hold harmless EazyMarketing Inc., its directors, officers, employees, contractors, agents, and service providers from claims, damages, liabilities, costs, or expenses arising from:
- Your breach of these Terms or a service agreement.
- Your misuse of the Website or Services.
- Content, customer lists, data, offers, claims, or materials you provide.
- Your violation of laws, platform rules, privacy obligations, messaging rules, advertising rules, or third-party rights.
- Customer communications, offers, promotions, or business practices controlled by you.
20. Governing law and dispute resolution
This Agreement is governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein.
Before starting formal legal proceedings, the parties agree to first attempt to resolve disputes in good faith through written notice and informal discussions. If the dispute is not resolved, either party may commence proceedings in the courts located in Edmonton, Alberta, Canada, unless a written agreement states another dispute process.
21. Force majeure
We are not responsible for delay or failure caused by events beyond our reasonable control, including natural disasters, public emergencies, war, labour disruptions, government actions, platform outages, internet failures, cyberattacks, carrier issues, payment processor issues, utility interruptions, or other events outside our control.
22. Changes to these Terms
We may revise these Terms at any time by posting an updated version on this page. The updated version becomes effective when posted unless a different effective date is stated.
Your continued use of the Website or Services after updated Terms are posted means you accept the updated Terms. If you do not agree with the updated Terms, you must stop using the Website and Services.
23. Entire agreement
These Terms, together with our Privacy Policy and any applicable signed proposal, invoice, scope of work, or written service agreement, form the agreement between you and EazyMarketing Inc. regarding the Website and Services. If any part of these Terms is found unenforceable, the remaining parts will continue to apply.
24. Service addendums
These addendums apply only when the related Service is purchased, approved, or included in a written proposal, invoice, scope of work, or service order. They are intended to clarify general scope, limits, and exclusions. Specific deliverables, timelines, pricing, and included quantities should be stated in the approved proposal or invoice.
A Smart Website / Landing Page
- Website or landing page work includes the design, build, launch support, and related configuration stated in the approved proposal.
- Included pages, revision rounds, forms, calendars, chat widgets, tracking, and integrations are limited to the approved scope.
- Client must provide accurate business information, services, contact details, brand assets, images, approvals, and domain access when required.
- Basic SEO means foundational on-page setup such as titles, meta descriptions, headings, structure, internal links, and mobile-friendly layout. It does not guarantee rankings.
- Maintenance may include hosting support, minor content updates, technical upkeep, and agreed support items only if included in the monthly plan.
- Maintenance excludes major redesigns, new pages, custom integrations, advanced SEO, copywriting expansions, third-party troubleshooting, and new features unless included in writing.
B Missed Call Text Back
- Missed Call Text Back sends an automated message when a call is missed on a configured business number or connected phone workflow.
- Setup depends on proper phone number configuration, call forwarding, messaging registration, platform approval, and carrier behaviour.
- Client is responsible for providing accurate business identity, reply instructions, booking links, service areas, and escalation rules.
- Message delivery may vary by carrier, recipient device, opt-out status, compliance status, and third-party platform rules.
- No guarantee is made for delivery, response rate, booked jobs, or recovered revenue.
C AI Chatbot / Website Assistant
- AI chatbot services may include automated website chat, lead capture, FAQs, qualification, booking support, and handoff instructions as stated in the approved scope.
- Client must provide accurate services, hours, location, service area, pricing rules, prohibited claims, escalation rules, and approved answers.
- AI responses may be imperfect and should not be used for emergency, legal, medical, financial, or compliance-sensitive advice.
- Client remains responsible for public commitments, pricing, service promises, and customer-facing policies.
- No guarantee is made for lead volume, conversion, sales, or AI response accuracy.
D AI Voice Agent
- AI Voice Agent services may include answering calls, collecting caller details, answering approved questions, routing calls, creating summaries, and supporting booking where configured.
- Included call types, minutes, usage limits, numbers, transfers, booking rules, and escalation rules must be stated in the approved proposal or invoice.
- Additional usage, phone, SMS, AI, carrier, or platform charges may apply depending on usage and billing setup.
- Client is responsible for ensuring required consent, recording disclosure, business policies, and emergency handling rules are appropriate for their business.
- AI Voice Agent is not an emergency service and should not be relied on for urgent, safety-critical, medical, legal, or high-risk situations.
- No guarantee is made for call answer quality, booked appointments, revenue, or conversion rate.
E Reputation Management
- Reputation Management may include review request setup, review monitoring, review response drafts, review widgets, reporting, and related automation as stated in the approved scope.
- Client must provide access to the relevant review profiles, customer lists, consent status, completed-job information, and approved message wording when needed.
- Review requests must be sent only to real customers based on genuine customer experiences.
- We do not create fake reviews, buy reviews, pressure customers for positive reviews, or guarantee review removal.
- No guarantee is made for review count, star rating, ranking improvement, or customer review behaviour.
F Social Media / Google Posting
- Social media or Google posting services may include content planning, post creation, scheduling, profile updates, and basic reporting as stated in the approved proposal.
- Included platforms, post volume, revision rounds, approval process, and content type must be stated in the approved scope.
- Client must provide brand guidance, offers, photos, service details, approval feedback, and any regulated-industry restrictions.
- Ad spend, influencer campaigns, professional photography, video shoots, community management, and daily engagement are excluded unless included in writing.
- No guarantee is made for follower growth, engagement, leads, sales, reach, or viral performance.
G CRM, Forms, Pipeline, and Follow-Up
- CRM services may include contact fields, forms, pipelines, stages, notifications, tasks, reminders, follow-up workflows, reporting, and dashboard setup as stated in the approved scope.
- Client must provide lead sources, process steps, staff roles, assignment rules, booking rules, service types, and follow-up preferences.
- Data import, cleanup, deduplication, tagging, custom reporting, advanced integrations, API work, and migration from other CRMs are excluded unless included in writing.
- Reporting accuracy depends on correct data entry, connected systems, staff usage, and platform availability.
- No guarantee is made for sales outcomes, staff adoption, pipeline accuracy, or lead conversion.
H Local SEO and Google Visibility
- Local SEO services may include Google Business Profile optimization, website content improvement, on-page SEO, service pages, listings, local keyword research, and reporting as stated in the approved proposal.
- Client must provide accurate business name, address or service area, phone number, website, hours, categories, services, photos, and access to relevant accounts.
- Google rankings, map placement, impressions, calls, traffic, and local visibility depend on many factors outside our control.
- We do not guarantee first-page ranking, map-pack placement, traffic volume, calls, leads, or Google approval.
I Paid Ads and Local Service Ads
- Paid advertising services may include account setup, campaign structure, tracking setup, landing pages, ad copy, optimization, reporting, or Local Service Ads support as stated in the approved proposal.
- Ad spend is separate from EazyMarketing Inc. management fees unless explicitly stated in writing.
- Client is responsible for platform eligibility, business verification, licenses, offers, service area, budget approval, and compliance with advertising policies.
- Ad platforms may reject, limit, suspend, or change campaigns at their discretion.
- No guarantee is made for impressions, clicks, leads, cost per lead, conversions, revenue, approval, or return on ad spend.
J Database Reactivation
- Database reactivation may include SMS, email, landing pages, reply management, follow-up workflows, and reporting as stated in the approved scope.
- Client must provide a lawful contact list, source of contacts, consent status, suppression/opt-out list, approved offer, and approved message wording.
- We may refuse to send campaigns where list quality, consent, or risk is unclear.
- No guarantee is made for reply rate, bookings, sales, revenue, or deliverability.
K Online Listings / Citation Management
- Listings or citation services may include submission, correction, monitoring, and reporting for business name, address, phone, website, hours, categories, and related business data.
- Client must provide accurate business information and confirm ownership or authorization to manage listings.
- Third-party directories may take time to update and may reject, alter, or delay changes.
- No guarantee is made for instant updates, complete directory coverage, ranking improvement, traffic, calls, or lead volume.
