b. Restrictions

8. User Content

11. Service Availability and Limitations
While we strive for 99.9% uptime, Eazy Marketing Inc. does not guarantee uninterrupted or error-free Services. We are not responsible for any downtime, data loss, or interruptions caused by maintenance, system updates, or external factors.
12. Refunds and Cancellations
Unless otherwise stated, all sales are final. Refunds, when granted, are issued at our sole discretion and returned through the original payment method.
13. Limitation of Liability
To the fullest extent permitted by law, Eazy Marketing Inc. shall not be liable for any indirect, incidental, special, or consequential damages, loss of profits, data, or goodwill resulting from your use or inability to use the Services. Our total liability will not exceed the amount paid by you in the six (6) months preceding the claim.
14. Indemnification
You agree to defend, indemnify, and hold harmless Eazy Marketing Inc., its directors, officers, employees, and agents from any claims or damages arising from your breach of these Terms, misuse of the Website, or violation of any law or rights of a third party.
15. Governing Law and Jurisdiction
This Agreement is governed by the laws of the Province of Alberta and the federal laws of Canada. Any disputes shall be resolved in the courts located in Edmonton, Alberta, Canada.
16. Dispute Resolution (Good-Faith)
Before starting formal legal proceedings, the Parties agree to first attempt to resolve any dispute in good faith through written notice and informal discussions. If the dispute is not resolved, either Party may commence proceedings in the courts located in Edmonton, Alberta, Canada.
17. Force Majeure
We shall not be liable for any delay or failure caused by events beyond our reasonable control, including natural disasters, war, labor strikes, system failures, or acts of government.
18. Changes to Services
We may modify or discontinue certain Services at any time without notice. Continued use of the Services after such changes constitutes your acceptance.
19. Entire Agreement
This Agreement and our Privacy Policy constitute the entire agreement between you and Eazy Marketing Inc. regarding your use of the Services and supersede any prior agreements.
20. Product Addendums
These addendums apply in addition to the Master Terms above. Each addendum defines scope, limits, and exclusions for the specific service.
Addendum A – Smart Website (Build One-Time + Maintenance Monthly)
- One-time Build & Launch fee covers initial build and go-live of the website as defined in this addendum.
- Monthly Maintenance Subscription covers ongoing hosting/technical upkeep and service items listed below.
- Build includes up to [X] pages. Additional pages are billed separately or require plan upgrade.
- Includes [Y] revision rounds during build. Additional revisions are billable.
- Client must provide required assets (business name, services, contact info, logo/brand assets if any). Timeline starts once assets are received.
- Lead capture includes [#] form(s) and routing to the configured email/SMS/CRM.
- “Basic SEO” means on-page items only (titles/meta/structure). No ranking guarantee.
- Monthly maintenance includes hosting, uptime monitoring, and minor content edits up to [limit] per month (define limit).
- Maintenance excludes major redesigns, new feature builds, and custom integrations beyond scope.
- Cancellation: you may cancel at any time by email; service continues until end of the current paid billing period.
Addendum B – Missed Call Text Back (Monthly)
- Service sends an automated SMS when an inbound call is missed on the configured business number(s).
- Client is responsible for correct number setup/routing and providing accurate business information used in templates.
- Follow-up cadence is limited to [X] sequence(s) / [Y] message(s) unless otherwise agreed.
- Opt-outs (e.g., “STOP”) will be honored based on messaging system behavior; delivery may vary by carrier.
- Client is responsible for compliance with applicable texting/marketing rules and having permission to contact leads.
- No guarantee of carrier delivery, response rate, or booked jobs.
- Cancellation: you may cancel at any time by email; service continues until end of paid billing period.
Addendum C – AI Chatbot (Multi-Channel Monthly)
- Chatbot provides automated responses and lead capture on the agreed channel(s).
- Included channels: Website chat + [1 additional channel] (define). Additional channels require add-on pricing or plan upgrade.
- Initial configuration includes up to [X] FAQs / [Y] intent flows (define). Additional setup is billable.
- Client must provide accurate business info (services, hours, service area, etc.).
- Chatbot responses are automated and may be imperfect; client remains responsible for final customer commitments.
- No guarantee of lead volume, conversions, or sales.
- Cancellation: you may cancel at any time by email; service continues until end of paid billing period.
Addendum D – AI Voice Agent (Monthly)
- Voice agent handles calls according to configured scripts, routing rules, and business hours.
- Included scope: Inbound calls only unless explicitly stated otherwise.
- Plan includes [X] minutes/month. Overage billed at $[rate]/minute (or define fair-use limit).
- Client is responsible for ensuring call recording/consent requirements are met where applicable.
- Appointment booking requires a connected calendar; booking accuracy depends on configuration and availability data.
- Voice agent is not an emergency service and should not be relied upon for urgent situations.
- No guarantee of bookings, revenue, or conversion rates.
- Cancellation: you may cancel at any time by email; service continues until end of paid billing period.
Addendum E – Reputation Management (Monthly)
- Service includes review request automation, monitoring, and reporting as configured.
- Client must provide access/links to relevant review profiles and ensure profile ownership.
- No guarantee of rating, review count, or ranking improvement.
- We do not create fake reviews or engage in prohibited review manipulation.
- Cancellation: you may cancel at any time by email; service continues until end of paid billing period.
Addendum F – Social Media Management (Monthly)
- Includes content planning and publishing for [platforms included] (define platforms).
- Posting volume: [X] posts/week or [Y] posts/month (define one).
- Revisions: [N] revision round(s) per content batch/month (define N).
- Client must provide branding guidelines and offers; otherwise stock/placeholder content may be used.
- No guarantee of follower growth, leads, or sales outcomes.
- Ad spend is not included unless explicitly stated.
- Cancellation: you may cancel at any time by email; service continues until end of paid billing period.
Addendum G – CRM (Monthly)
- CRM service includes configuration and automation as defined in this addendum.
- Included setup: [X] pipeline(s), [Y] stage(s), and [Z] basic automation(s) (define numbers).
- Additional workflows, advanced integrations, custom development, or data migrations are billed separately.
- Client must provide accurate process steps (stages, routing rules, assignment rules).
- Reporting depends on the data entered; no guarantee of business outcomes.
- Cancellation: you may cancel at any time by email; service continues until end of paid billing period.
